TERMS OF SERVICE.

01. Acceptance of Terms

By accessing or using any ACX Technologies Inc. platform, product, or service ("Services"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you must immediately discontinue use. These terms constitute a legally binding agreement between you and ACX Technologies Inc.

02. Authorized Use

Access to ACX Services is granted exclusively to authorized personnel of contracted organizations. Unauthorized access, reverse engineering, or any attempt to extract proprietary algorithms, ontological models, or system architectures is strictly prohibited and may result in criminal prosecution under applicable federal and international law.

03. Intellectual Property

All software, algorithms, visual designs, documentation, and system architectures provided through ACX Services are the exclusive intellectual property of ACX Technologies Inc. No license, express or implied, is granted to reproduce, modify, or distribute any component of the Services beyond the scope explicitly defined in your enterprise agreement.

04. Service Level

Uptime Guarantee. ACX commits to 99.999% availability for Tier-1 deployments. Downtime beyond this threshold is subject to service credit provisions outlined in your enterprise contract.
Support Response. Critical severity incidents receive immediate response. Standard inquiries are addressed within 4 hours during operational windows.

05. Limitation of Liability

To the maximum extent permitted by law, ACX Technologies Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use or inability to use the Services. Total liability shall not exceed the fees paid by the contracting organization in the twelve months preceding the claim.

06. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the federal courts located in Delaware.
